1. Acceptance
By subscribing to ToolScale or using any part of the service, you agree to these Terms. If you don't agree, don't use the service. If you subscribe on behalf of a company, you confirm you have authority to bind that company.
2. The service
ToolScale provides bundled access to a curated catalogue of third-party AI, marketing and ecommerce tools through a single subscription. Access is delivered through a sandboxed browser environment with our authentication layer. The exact list of tools may change over time as we add new ones and remove deprecated ones.
3. Your account
You must provide accurate information when subscribing and keep your credentials confidential. You are responsible for everything that happens under your account. Notify us immediately at contact@toolscale.io if you suspect unauthorised access.
Each Elite seat is intended for a single user. Each Elite Team plan allows two distinct users. Sharing a single seat between multiple people violates these Terms.
4. Subscription & billing
Subscriptions are billed in advance through Stripe. Monthly plans renew every month, annual plans every twelve months, on the same calendar day you subscribed. Lifetime plans are one-time payments with no future billing.
All prices are listed in USD and exclude any applicable taxes. You authorise us to charge the payment method on file for each renewal until you cancel.
5. Refunds & cancellation
You can cancel at any time from your account dashboard. The cancellation takes effect at the end of the current billing period — you keep access until then. No commitment, no exit fees.
Because subscribers receive instant access to dozens of premium tools the moment they pay, all sales are final. We don't issue refunds for unused time on monthly, annual or lifetime plans. If you're unsure, start with the monthly plan and cancel after one cycle.
6. Acceptable use
You agree not to:
- resell, sublicence or rent your access to anyone else;
- share login credentials beyond the seat count of your plan;
- use ToolScale for illegal activity, harassment, malware distribution or anything that violates the terms of the underlying tools;
- attempt to reverse-engineer, scrape or interfere with the authentication layer;
- misuse credits, generations or seats to defraud the bundled tool providers.
We may suspend or terminate accounts that violate these rules, with no refund.
7. Tools & third parties
The tools accessible through ToolScale are operated by their respective owners (Semrush, Anthropic, OpenAI, Canva, ElevenLabs and others). Each tool's own terms of service apply when you use it. ToolScale acts as a licensed reseller / aggregator and is not affiliated with these providers unless explicitly stated.
We can't guarantee uninterrupted availability of any individual tool — providers may change features, pricing structures or shut down their service entirely. We'll replace or swap tools when needed and notify members of material changes.
8. Intellectual property
ToolScale's brand, website, content and software remain our property. You receive a limited, non-exclusive, non-transferable licence to use the service for as long as your subscription is active. Content you create using the bundled tools belongs to you, subject to each underlying tool's own licensing terms.
9. Disclaimer of warranties
The service is provided as is and as available. To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.
10. Limitation of liability
To the maximum extent permitted by law, ToolScale's total liability for any claim arising from these Terms or the service is capped at the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages, lost profits, lost data or business interruption.
11. Termination
You may terminate at any time by cancelling from your dashboard. We may terminate or suspend access immediately if you breach these Terms, abuse the service, or for any unlawful activity. Sections 8 through 13 survive termination.
12. Changes to these terms
We may update these Terms occasionally. When we do, we'll change the "Last updated" date at the top of this page and, for material changes, notify active subscribers by email. Continued use of the service after an update means you accept the updated Terms.
13. Governing law
These Terms are governed by French law. Any dispute that can't be resolved amicably will be brought before the competent courts in France, subject to mandatory consumer protections of your country of residence.
